POSSIBLE INVESTMENT IN A RENOWNED JAPANESE VIDEO GAME DEVELOPER

The board (the “Board”) of directors (the “Directors”) of the Company is pleased to announce that on 31 March 2015 (after trading hours), the Company and Ledo Millennium Co., Ltd. (“Ledo Millennium”) have entered into a term sheet (the “Term Sheet”), pursuant to which the Company intends to subscribe for shares of Ledo Millennium which would effectively result in the Company acquiring 100% of Ledo Millennium’s equity interest, and Ledo Millennium has simultaneously entered into a separate term sheet with a renowned Japanese video game developer (the “Target Company”) under which Ledo Millennium shall acquire the controlling stake of the total share capital of the Target Company (“Possible Investment”), subject to due diligence and execution of definitive agreements between the parties. If materialized, the Possible Investment will result in the Company indirectly acquiring a controlling interest in the Target Company.

REASONS FOR THE POSSIBLE INVESTMENT

The Target Company is principally engaged in the business of video game development on mobile,
console and PC platforms worldwide.

Ledo Millennium, a company incorporated under the laws of the British Virgin Islands, is a
wholly owned subsidiary of BZ Entertainment Co., Ltd., a company incorporated under the laws of the British
Virgin Islands. BZ Entertainment Co., Ltd. is an investment holding company.

INFORMATION ABOUT THE TARGET COMPANY

The Target Company is a historically distinguished video game hardware and software company with
headquarters in Osaka, Japan. The Target Company primarily operates as a third party video game
developer and publisher on all major platforms including arcade, PS2, PS3, XBOX 360, Wii and PC.
Classic franchise games published or owned by the Target Company include, but is not limited to, the
genre of fighting games, run and gun games, and a rail shooter arcade game. The Target Company is
most notable for creating a video game platform in the form of home game console in the 1990s. Their
most popular and successful console was a portable handheld machine with coloured graphics launched
in 1999.

Its successful track record in producing hit games and the fact that it had previously cooperated with
Capcom to make hit fighting games, leaves no doubt that the Target Company is one of the most
celebrated video game developers in Japanese history.

As at the date of this announcement, to the best of the Directors’ knowledge, information and belief
having made all reasonable enquiry, each of Ledo Millennium, the Target Company and their respective
beneficial owners are third parties independent of the Company and its connected persons.
As the Possible Investment may or may not proceed, shareholders of the Company and potential
investors should exercise caution when dealing in the shares of the Company.


Well, this is a surprise, I had never heard about Ledo Millenium so don' know which credentials they had.

Also, I wonder which intentions they had with SNK ip's, at least this last year SNK has been in good shape thanks to his PC and Mobile releases
 
I would have thought Tencent would buy SNK, after publishing Chinese region online versions of some SNK games and paying to put Terry and Benimaru in their fighting game.

Damn shame they removed Beni and Terry outta of Xuan Dou Zhi Wang recently. They played so good. The whole game is good besides the input system and graphics tbh

What is "The Company" refering to? The tone that is taking 100% of shares of Ledo while Ledo takes SNK Playmore?

"The Company" refers to Leyou Technologies Holdings Limited. They're buying out Ledo Millennium, who is buying SNK Playmore.

Iirc they still have some kind of partnership going with Tencent.

From the wiki:

The SNK guest characters were added to the game on August 5, 2014, but they were "temporarily removed" from the game in January 15, 2015, following a change in terms of negotiation between Tencent and SNK Playmore
 
This is sarcasm right? Because looking at the current Sega and Konami, this Chinese company is a savior compared to those two.

Nah, I was serious. I suggested Konami because they published KoF XIII for Arcades IIRC and Sega because they are one of the last big Arcade developers/publishers. I figured they'd jump at the chance to have something other than Virtua Fighter.

It seems to me under this new company's ownership, nothing will really change. Just more pc ports and East Asian mobile/pc games :/

Sega is refocusing on mobile and PC, the last time Konami bought a studio it was Hudson and we all know how that turned out. I think in this case that more of the same isn't that bad.
 
You do know that the next KOF is in development right? They have job postings up on the official site.

Lol, yeah, but it seems like they've promising a big new fighting game for a couple of years now and we haven't heard ANYTHING other than the job postings. I've pretty much given up all hope. How do we know their new owners won't just cancel it?

Fair enough, I was mostly throwing the names out there because I thought maybe being bought by a company that still makes games could use the IPs for SOMETHING other than what we have right now.

Well that sucks, I was hoping an actual game publisher could scoop them up. Someone like Sega or Konami or something.

While i agree on Sega tx to them saving Atlus...... Konami??? That disgusting company who killed my beloved Hudson??? Burn them to hell.

Makes sense since Chinese countries are where SNK is strongest.

Fun fact Chinese markets got the first arcade version of 2002UM in Road to Revenge. It was much later that SNKP decided to bring it to Japanese atcades as 2002UM.

Since SNK is continuing to hire for the new KOF through their website (with a new update just very recently), I'm guessing (hoping) this won't be effecting game development.

A company called "Shun-Panax" bought SNK Playmore for 63 million.

Also, if I'm not reading it wrongly, they were bought because of their popular IP. And they want to emulate the Marvel Cinematic Universe effect, by using the IPs to make games, comics and movies.
 
Maybe some Chinese companies will start to get into the console market? =X

Either way, I wonder if this will actually change something, it's not like SNK was pumping out many games by themselves either >.>
