Buying a studio can be tricky, because a lot of the best talent at these companies are people who've been with the teams since they were smaller, and there are cultures built up that no one wants to disrupt. Buying Rockstar could be a disaster, as you don't want to disrupt the environment that fosters the current level of creativity they have. Like them or not, they make blockbusters that garner a lot of fan favor. Integrating those teams into the larger company's org chart will always create ripples, as certain corporate policies will have to be adopted, and higher ups will lose certain liberties and freedoms they previously had, as they're now reporting to someone for the first time. This then influences some of the decisions they made more freely for their subordinates. You'll also end up downsizing at least a little bit, as there are inevitable redundancies in areas like marketing and logistics. Those are people who've established relationships with employees elsewhere in the company, and who might have additional roles that they fill outside of their main job title.
I think it's nice to wax philosophical about who Sony or MS can buy up next, but the reality is much more than dollar signs. I think in the case of Sony, it only makes sense to look at smaller studios who already rely heavily on the PS marketing machine due to previous exclusivity deals. That has the knock-on benefit of having a library of games that already fit into the PS mold, where there's an established audience for them. If Sony bought Bethesda, they could sell a decent number of games, but is the PS the bread-winner for Bethesda? Aren't they more of a multiplat type of studio, who leverages strength across multiple platforms and not just one?
At least GTA and FF have had some level of PS exclusivity in the past, but I don't know if Zenimax fits that description. So I don't think there is necessarily any need to counter the move by MS. It helps bolster MS's gaming portfolio, but they were going to have to do that anyway. If Sony is worried about losing console sales to the Xbox, based on a developer that didn't really sell Playstations, then I'd wager there are bigger concerns for Sony than the number of studios under their umbrella. MS buying SE or Rockstar/Take2 would be a reason for Sony to make a counter move. Bethesda wasn't going to put any significant number of Playstations in homes that wouldn't already be there for other games, particularly those from Sony WW studios.
I think buying Rockstar alone is massive, but it'll be too expensive that you can spend the money more wisely on already friendy studios like Kojima Productions, Bluepoint, Atlas. Konami and Sega are less expensive and have massive titles.
Sony as well has plenty of neglected IP's that are begging to return. With such money or less, you could buy both, not to mention that you can push PES over FIFA.

Sony has massive relationships with Bluepoint(referred to as the master of remasters) and HouseMarque. Same goes for KojiPro. TakeTwo also has a long standing relationship with Sony, even more intimate than they do with Microsoft, i doubt about TakeTwo getting acquired by anybody anytime soon, if ever. The insane value of each of their ips is in the dozens of billions and the company as a whole should be worth 5-6 times that much, i doubt anybody will ever make a move on them ,they're far too expensive. The best any company could do is maintain a steady relationship with them much like Sony's doing and the rest will come by itself in due time.im mostly kind of bummed about Doom and i would've given TES VI a try even if i didn't really like skyrim
