A new publisher enters the market, Soul and Vibe Interactive

While browsing EDGAR today, I noticed that the company Soul and Vibe Interactive, which I've never heard about before, has completed the aquisition of Soul and Vibe Entertainment. And now they apparently intend to pursuit the video game industry in developing, publishing, and digitally distributing interactive entertainment for video game consoles, mobile devices, and personal computers, as they described it.

( OTCQB : SOUL ), "The Company," a video and computer games company, today announced it has completed the acquisition of Soul and Vibe Entertainment, Inc. Game industry veteran Peter Anthony Chiodo ("Tony"), the CEO and founder of Soul and Vibe Entertainment, has assumed the position of CEO and President of Soul and Vibe Interactive. Soul and Vibe Interactive's former CEO, President, and CFO, Pauline Carson, has transitioned to Vice President. As a result of the transaction, Soul and Vibe Interactive now has 109 million shares outstanding.

The completion of this acquisition secures Soul and Vibe Entertainment, Inc.'s strategic and valuable contractual agreements as assets for Soul and Vibe Interactive Inc. Soul and Vibe Entertainment has several strategic and valuable contractual agreements which include a license agreement with General Mills, and game development and publishing agreements for the PlayStation® 3 computer entertainment system and PlayStation® Vita (PS Vita) from Sony Computer Entertainment America and the Xbox 360® video game and entertainment system, Windows 8, Windows Live, and Windows Phone from Microsoft. In addition to Windows Phone, Soul and Vibe Interactive will also develop and publish games for mobile platforms such as Apple iOS (iPhone, iPad, and iPod touch) and Android.

Overview

The Company will focus its operational strategy on the development of product for a variety of hardware platforms: video game consoles (for example: Xbox 360 and PlayStation 3), mobile (for example: Apple iOS and Android devices, and Windows Phones), and personal computers (for example: PC and Mac). Our products will also be released on portable video game consoles (for example: PlayStation Vita), which can be defined as residing in both the video game console and mobile hardware platform categories. Products will be designed for specific hardware platforms; not all products will be released on all hardware platforms.

Most of the Company’s products will be digitally distributed (via download) through a “First Party” distribution store (for example: Microsoft’s Marketplace or Apple’s App Store). On platforms

Effective August 8, 2012, the Company became an approved developer and publisher of games and games-related content for the Microsoft hardware platforms that include: Xbox 360 (and the associated Xbox Live), Windows Live, Windows 8, and the Windows Phone.

In September 2012, the Company became an approved developer and publisher of games and games-related content for the Sony platforms that include: PlayStation3, PlayStation Vita, and the PlayStation Network.

On licensing

Effective September 2011, Soul entered into a license agreement with General Mills, which expires on December 31, 2015, subject to extension. Under the terms of the agreement, the Company is able to develop and publish "Wheaties" branded video and computer games as well as games-related content based on General Mills breakfast cereal and food-product mascot intellectual properties ("IP"). A minimum guarantee of USD $30,000 is due to General Mills in installments of $10,000 each December 31, beginning in 2013 and ending in 2015. This minimum guarantee will be offset against the royalties earned by General Mills from the sale of the Company's "Wheaties" branded, and General Mills IP associated, games and games-related content.

For the nine months ended September 30, 2012, we incurred a net loss of $99,688 compared to a net loss of $42,129 for the year-ended December 31, 2011. Our ability to continue as a going concern is subject to our ability to generate a profit and/or obtain necessary funding from outside sources, including obtaining additional funding from the sale of our securities, increasing sales or obtaining loans and grants from various financial institutions where possible. The 8-K goes in great detail regarding risks and such (they mention for example they have "virtually no operating history"). From it you can also see they might have interest in developing games for next generation. It's there if you want to read it.

Anyway, as for the business itself, the website provides a few quirky details:

On management

Peter Anthony Chiodo (“Tony”) is the CEO and President of Soul and Vibe Interactive Inc. He has 22 years experience in the video and computer games industry as an award-winning Director of Product Development and Producer. Tony has launched 200+ video and computer games over the course of his career. He holds an MBA from the University of Utah’s David Eccles School of Business (1998).

Tony has extensive experience leading software production teams, worldwide, in the development of engine technologies and games for consoles and personal computers. He created and implemented a development process that resulted in the release of 100+ frontline and “casual” games over 4 years. He has managed an internal development studio (35+ engineers, artists, and designers), has directed 30+ externally contracted development teams located all over the world, and oversaw a production management department (seven persons). Tony produced/co-designed the critically acclaimed Stoked: Big Air snowboarding series (Xbox 360) and the million-unit selling title, Summer Sports: Paradise Island (Wii).

For what it's worth, Stoked: Big Air Snowboarding currently has a rating of 72 on Metacritic. Summer Sports: Paradise Island has a rating of 46. Furthermore, as Yahoo mentioned, Peter had a role in the launch of Xbox.

What do you think, could this materialize into something big or not? Personally I think it seems a bit fishy with the information provided about developers and management.
